LSEG has agreed to acquire credit-intelligence provider Octus for $3.535 billion in cash from funds advised by Permira and Octus management, including founder Kent Collier, the London Stock Exchange Group said in its acquisition announcement. LSEG plans to finance the purchase with external debt and expects completion in the first half of 2027, subject to regulatory approval.

The proposed acquisition would extend LSEG’s data business into private and less readily traded credit markets. LSEG said it intends to combine Octus’ intelligence and portfolio tools with its existing fixed income data, analytics and distribution, helping customers find deals, assess risk and manage investments through its platform.

Permira announced the agreed sale on 22 October. Although the investment firm described the transaction as a full realisation of its investment, both its statement and LSEG’s announcement make clear that completion remains subject to approvals.

What Octus brings to LSEG

Founded by Collier in 2013 and headquartered in New York City, Octus has more than 900 employees, 750 customers and over 40,000 individual users, according to LSEG. Its customers include investment managers, investment banks, law firms and advisory firms.

Octus was previously known as Reorg. In its announcement dated 29 October 2024, the company said the change of name reflected its expansion across the credit lifecycle, from finding and issuing deals to analysing performing, stressed and distressed debt.

The acquisition centres on information that can be difficult to obtain and compare. LSEG said Octus’ teams collect credit documents, including covenants and deal terms, and convert them into structured, searchable data. Covenants are contractual conditions attached to borrowing; analysing them helps explain the obligations and protections built into a credit agreement.

That information also feeds Octus’ workflow and portfolio management products. These are tools that organise the steps involved in researching, evaluating and monitoring investments, rather than simply supplying a document or news report.

Octus’ product overview describes services ranging from private-company research and deal-origination intelligence to financial data, document access and comparisons of contractual clauses. It also offers access through its online platform, data feeds and mobile app, alongside tools for querying credit information through artificial intelligence applications.

Combining liquid and private credit data

LSEG said its existing strength lies in liquid credit, meaning debt that can be traded more readily. Its products include IFR news, evaluated pricing, corporate actions information, and analytics through Yield Book and LPC.

Octus would add expertise in illiquid and private credit, where transactions and documentation can be less accessible. LSEG also identified Octus’ relationships with hedge funds and alternative investment managers as an attraction, saying these were customers among whom its own business had historically had a smaller presence.

LSEG’s plan has two parts: selling each company’s products to the other’s customers, and developing combined services. The group said it intends to bring Octus content into products including Workspace, LPC, Yield Book, PRS and Tradeweb.

The intended result, according to LSEG, is a more consistent view of a fragmented credit market, using common data structures, valuation tools and portfolio management capabilities. These are the buyer’s integration plans, rather than services already delivered by the transaction.

LSEG chief executive David Schwimmer said combining the businesses would broaden the group’s credit data and intelligence offering. Collier, in the same announcement, said joining LSEG would pair Octus’ information and tools with global distribution and fixed income expertise.

LSEG placed the purchase alongside Tradeweb’s separately planned acquisition of Trumid as part of its wider fixed income strategy. Its announcement estimated the private credit industry at $3.5 trillion and the market served by private-markets data, workflow and access solutions at $7 billion to $9 billion. LSEG expects the latter segment to grow at a double-digit rate, supported by asset growth and demand for information.

Revenue expectations and debt funding

LSEG expects Octus to generate more than $300 million in revenue in 2026, with strong double-digit growth and an adjusted EBITDA margin of around 40 per cent. EBITDA measures earnings before interest, tax, depreciation and amortisation; the adjusted measure also reflects company-defined adjustments.

The group said Octus had achieved double-digit compound revenue growth since 2022. That historical growth statement is separate from the revenue and margin forecasts for 2026.

LSEG expects the acquisition to lift the organic revenue growth rate of its Data & Analytics division immediately. Organic growth measures underlying business growth rather than simply the revenue added through acquisitions. The group also said Octus would add to its guidance for group organic subscription revenue growth of around 7 per cent in 2027.

The expected effect on profit per share is more gradual. LSEG forecasts no change to adjusted earnings per share in the first full year after completion, followed by an increase attributable to the transaction in subsequent years.

LSEG left its medium-term margin guidance unchanged. It continues to expect its underlying EBITDA margin to increase by a cumulative approximately 150 basis points, equivalent to 1.5 percentage points, over 2027-2029 from the 2026 baseline.

Debt financing will also affect the group’s balance sheet. LSEG expects leverage to be near the upper end of its target range of 1.5-2.5 times at the end of 2027, before returning to the middle of that range by the end of 2028.

That forecast includes expected cash flow, completion of its current GBP 3 billion share buyback programme by February 2027, completion of both the Octus and Trumid transactions, and capacity for another GBP 1 billion to GBP 1.5 billion in buybacks, LSEG said.

Permira’s ownership and the management transition

Permira said its funds acquired Octus in 2022 and supported expansion through product development and acquisitions, including FinDox, Sky Road and LevPro.

During roughly four years of ownership, Octus more than tripled annual recurring revenue, a measure of revenue expected to recur from ongoing customer contracts, according to Permira. The investment firm linked that growth to a near-doubling of the number of products sold into credit markets. It did not provide an absolute recurring-revenue figure in the statement.

Permira also highlighted automation as part of the company’s development. It said Octus’ platform had carried out more than four million automated classifications, one million structured data extractions and 250,000 content-summary generations during 2026 to the announcement date. Those figures describe activity reported by the seller, not an independent assessment of output accuracy or customer productivity.

After completion, Octus will sit within LSEG’s Data & Analytics division, according to LSEG. Collier will continue to run the business, reporting to divisional co-heads Gianluca Biagini and Ron Lefferts. The announced timetable remains conditional on regulatory approval; neither company’s statement identifies the individual approvals required.
