CCI approved MIH Payments Holdings' acquisition of an unspecified stake in Navi Limited. The clearance does not establish that Prosus's proposed $100 million investment has closed.

The Competition Commission of India has approved MIH Payments Holdings B.V.’s acquisition of a stake in Navi Limited, according to the regulator’s approval announcement. YourStory identified the transaction as Dutch investment group Prosus’s proposed investment in the Sachin Bansal-led financial services company.
Prosus separately announced a proposed $100 million investment in Navi, describing it as the company’s first institutional capital raise. Its announcement made completion conditional on customary closing conditions and applicable regulatory approvals, specifically including CCI clearance.
The regulator’s announcement describes the approved acquisition as involving “certain shareholding” in Navi. The available announcement does not specify the percentage. CNBC-TV18 reported that Navi had not disclosed the proposed ownership stake or valuation when announcing the investment on 19 August.
The acquirer and the terms disclosed
MIH Payments Holdings is an investment-holding entity rather than an operating business. According to YourStory’s account of the CCI release, the regulator said MIH undertakes no business activity other than holding investments in portfolio companies that operate in India.
That distinction separates the legal acquirer named in the approval from the wider investor behind the proposed financing. YourStory described Prosus as a global consumer internet investment group majority-owned by South Africa’s Naspers.
Prosus’s own announcement places the investment within its strategy of backing technology platforms in India. The company described its broader technology ecosystem as spanning payments, food delivery, classifieds, travel, events and mobility.
CCI’s role concerns competition review. As YourStory explained in its report on the approval, transactions crossing specified thresholds require regulatory clearance under the framework intended to protect competition. The decision announced by CCI concerns the share acquisition; it does not set out an assessment of Navi’s financial products or prospective investment returns.
The financial terms remain less fully disclosed than the proposed investment amount. The Economic Times reported a valuation of about $1.3 billion, citing a person with direct knowledge of the matter. That figure is a reported valuation based on an unnamed source, rather than a valuation disclosed in Prosus’s investment announcement.
The distinction also matters when describing the financing itself. Although YourStory reported that Navi had announced raising the money, Prosus’s announcement expressly described an investment subject to conditions. The approval establishes regulatory clearance from CCI, not completion of the financing.
Navi’s businesses and the investment rationale
Navi offers loans, insurance, mutual funds and Unified Payments Interface, or UPI, payments, directly and through partners, according to the announcement published by Prosus. The company is headquartered in Bengaluru.
The announcement presented operating performance as part of the rationale for the investment. It said Navi UPI retained its position as India’s fourth-largest UPI app during FY26. That ranking is a company statement; the announcement does not provide the underlying payment volumes or market-share calculation.
The same announcement described growth in Navi Finserv’s lending business, reporting an increase in assets under management, a measure of the lending portfolio it manages. It also said the group achieved consolidated profitability in the fourth quarter of FY26, but did not disclose a profit figure.
The company attributed that result to improving economics and increased operating leverage, meaning the benefits of spreading costs across a larger business. These are the company’s explanations for its performance, rather than findings made by CCI in the approval announcement.
Ashutosh Sharma, head of Prosus India Investments and M&A, said in the investment announcement that Navi’s user base, multiple business lines and technology-led approach attracted the investor. He also pointed to the team’s execution and said Prosus intended to support Navi’s longer-term growth after completion of the transaction.
Bansal, Navi Group’s founder and executive chairman, said in the same announcement that his association with Naspers and Prosus extended back more than a decade. He described the proposed partnership as offering more than capital, highlighting Prosus’s international perspective and experience in expanding technology businesses.
Those statements explain the parties’ reasons for entering the transaction. The announcement does not provide a business-by-business spending plan for the proposed investment.
The earlier public offering proposal
Navi’s proposed institutional investment follows an earlier plan to raise money through a public share offering. Navi Technologies Limited’s draft red herring prospectus dated 10 March 2022, available through BSE, proposed a fresh issue of shares. A draft red herring prospectus is a preliminary disclosure document for a proposed public offering.
The document also contemplated a pre-IPO placement, a fundraising transaction before the public offering. It stated that any such placement would reduce the proposed fresh issue accordingly. Those disclosures described potential fundraising arrangements; they do not establish that either transaction was completed.
The prospectus identified Bansal as the promoter. It recorded the company’s incorporation in December 2018 and its conversion from a private company to a public limited company in February 2022. These historical disclosures concern the earlier offering plan, not the terms of the Prosus investment.
CCI clearance addresses one approval expressly identified in Prosus’s investment announcement. Neither that announcement nor the available approval material establishes that the financing has closed or that every remaining condition has been satisfied.
